By accessing or using our Website or Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Website or Services.
1. Services
Inpharmativ Consulting Inc. provides pharmaceutical consulting services, including but not limited to market research, strategic planning, competitive intelligence, regulatory advisory, clinical development consulting, and other related services to clients in the pharmaceutical, biotechnology, and healthcare industries.
2. Client Engagement
All Services provided by INPHARMATIV will be governed by a written agreement, statement of work, or proposal (collectively, “Service Agreement”) that specifies the scope of work, deliverables, timeline, fees, and other relevant terms. In the event of any conflict between these Terms and a Service Agreement, the terms of the Service Agreement shall prevail.
Unless otherwise specified in a Service Agreement, all invoices are due and payable within thirty (30) days of the invoice date. We reserve the right to charge interest on any unpaid balances at a rate of 1.5% per month (or the maximum rate permitted by law, if less).
Cancellation or postponement of Services by a client may result in charges as specified in the applicable Service Agreement. For market research projects, cancellation fees typically apply based on the proximity to scheduled research dates.

Clients retain ownership of all pre-existing intellectual property rights in materials they provide to us. Clients grant us a non-exclusive, worldwide, royalty-free license to use such materials solely for the purpose of providing the Services.
Unless otherwise specified in a Service Agreement, upon full payment of all applicable fees, clients will own all rights to the final deliverables specifically created for the client as part of the Services. INPHARMATIV retains ownership of all methodologies, processes, techniques, ideas, concepts, trade secrets, and know-how embodied in or developed in connection with the Services, as well as any general knowledge, skills, and expertise acquired in the course of providing the Services.
4. Confidentiality
Each party may disclose to the other certain Confidential Information. “Confidential Information” means information that is proprietary or confidential to the disclosing party and is clearly labeled or identified as confidential at the time of disclosure, or which by its nature would reasonably be understood to be confidential or proprietary.
Each party agrees to: (a) use the Confidential Information only for the purpose of fulfilling its obligations under these Terms or any Service Agreement; (b) protect the Confidential Information using the same degree of care that it uses to protect its own confidential information of a similar nature, but in no event less than reasonable care; and (c) not disclose the Confidential Information to any third party except with the prior written consent of the disclosing party or as permitted under these Terms or any Service Agreement.

If the receiving party is required by law, regulation, or legal process to disclose any Confidential Information, the receiving party will: (a) to the extent permitted by law, provide the disclosing party with prompt written notice so that the disclosing party may seek a protective order or other appropriate remedy; (b) disclose only that portion of the Confidential Information that is legally required to be disclosed; and (c) use reasonable efforts to obtain confidential treatment for any Confidential Information so disclosed.
